1. Scope of Work:
- Ground Up Digital (“the Company”) will provide website design and development services as outlined in the project proposal and agreed upon by both parties.
2. Payment Terms:
- The Client agrees to pay a non-refundable deposit [as stated] as a portion of the total project cost upon acceptance of this agreement.
- The remaining balance is due upon completion and delivery of the website.
- Payments can be made via this site [or other methods if agreed to in writing by both parties], with details and invoice provided by the Company.
3. Project Timelines:
- The Company will provide an estimated project timeline. Package 1 = 1-2 weeks. Package 2 = 2-3 weeks. Package 3 = 3-4 weeks. Delays may occur due to unforeseen circumstances, but the Company will make every effort to meet the agreed-upon deadline.
4. Client Responsibilities:
- The Client agrees to complete the onboarding form, and provide all necessary materials, content, and feedback in a timely manner.
- Failure to provide necessary materials or feedback may result in project delays and additional charges.
5. Changes and Revisions:
- Minor revisions and changes are included in the project cost. Major revisions or scope changes may incur additional charges, agreed upon by both parties.
6. Ownership and Intellectual Property:
- Upon full payment, the Client will own the website design, excluding any third-party assets or software.
- The Company retains the right to showcase the completed project in its portfolio and marketing materials.
7. Hosting and Maintenance:
- The Company will provide hosting and maintenance services for the website for an additional monthly fee, as described in a the monthly hosting and maintenance description.
8. Termination:
- Either party may terminate this agreement in writing if the other party breaches its obligations, with a 15-day notice period. Any consideration already paid will be non-refundable, unless The Company is unable to fulfill the agreed upon duties.
9. Liability:
- The Company is not liable for any loss, damage, or data breach that may occur as a result of website usage after completion.

10. Confidentiality:
- Both parties agree to keep all project-related information and communications confidential.
11. Governing Law:
- This agreement is governed by the laws of the State of Texas. Any disputes will be resolved in the appropriate courts within that jurisdiction.
12. Entire Agreement:
- This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or verbal.
